Terms & Conditions

This Guaranteed Sponsorship Promotion Agreement Addendum (the "Agreement") by and between TeamSnap, Inc., a corporation duly organized and existing under the laws of the State of Delaware, with its principal place of business located at 2045 W Grand Ave., Ste B PMB 23554, Chicago IL 60612-1577 ("TeamSnap"), and the undersigned entity ("Participant" , collectively referred to as the "Parties") is made effective on the same date as Participant’s agreement with TeamSnap for Services.  In addition to the standard terms and conditions Participant agreed to for TeamSnap for Business and for TeamSnap Sponsorship, as applicable, the terms of this Agreement shall also apply for this Promotion.

Recitals:

A. TeamSnap provides a subscription-based service for businesses, known as TeamSnap for Business ("Service"), which facilitates the processing of payments.

B. TeamSnap wishes to offer a promotional sponsorship opportunity ("Promotion") to new business accounts ("NBAs") that subscribe to the Service during the Promotion Period, subject to certain conditions as set forth herein. Participant must be an NBA.

C. The Participant is eligible and desires to participate in the Promotion under the terms and conditions specified in this Agreement.

D. The Participant agrees to complete and submit all necessary applications (“Sponsorship Application”)  within ten (10) days of subscribing to the Service.

Therefore, in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. Promotion Period: The Promotion is valid for NBAs that purchase a subscription to the Service between May 1, 2024, and July  31, 2024 (the "Promotion Period").

2. Eligibility: This Promotion is only available to NBAs that are directly presented with this offer by TeamSnap. To be eligible for the benefits of this Promotion and to receive the Guaranteed Value, NBAs must complete and submit their “Sponsorship Application” within ten (10) days of subscribing to the Service.

3. Sponsorship Guarantee:

3.1. Guaranteed Value: Subject to the terms and conditions of this Agreement, NBAs will receive a guaranteed sponsorship value ("Guaranteed Value") based on the volume of payments processed through the Service within three hundred and sixty five (365) days of beginning of Service subscription.

3.2. Payment Processing Threshold: To qualify for the Guaranteed Value, NBAs must process at least $1,000 in payment volume through the Service within three hundred and sixty five (365) days of beginning of Service subscription.  Payment processing volume will be determined by TeamSnap, in its sole and reasonable discretion, based on its standard calculation methods.

3.3. Guaranteed Value Tiers: The Guaranteed Value will be awarded as follows, based on the payment volume processed within three hundred and sixty five (365) days of beginning of Service subscription:

• $250 for $1,000 - $99,999 processed
• $500 for $100,000 - $249,999 processed
• $1,250 for $250,000 - $499,999 processed
• $2,500 for $500,000 - $749,999 processed
• $3,750 for $750,000 - $999,999 processed
• $5,000 for $1,000,000 or more processed

3.4. Sponsorship Offers: TeamSnap will provide the Guaranteed Value through a combination of brand sponsorships, participation in the HundredX fundraising program, and/or direct sponsorship from TeamSnap (the “Sponsorship Opportunities”). Participant will be eligible to receive offers following the completion and submission of the “Sponsorship Application”. Any Sponsorship Opportunity offered or participated in by July 31, 2025 will be credited against the Guarantee Value.

3.5. Valuation: Any offered Sponsorship Opportunities, whether accepted by Participant or not, will be applied to the Guaranteed Value.  For example, if an NBA qualifies for $500 as the Guarantee Value and TeamSnap offers the NBA a sponsorship opportunity through one of TeamSnap’s brand partners, if the NBA does not accept the sponsorship opportunity TeamSnap will be deemed to have fulfilled the Guarantee Value of $500.  The cash value, future service credits, or in-kind value provided as part of the Guaranteed Value will be determined solely by TeamSnap.

3.6. Acceptance: The full value of any Sponsorship Opportunity offered to Participant counts towards the Guaranteed Value fulfillment, regardless of the Participant’s acceptance or execution of the offer.

3.7. HundredX Program: If your Organization elects to utilize services through TeamSnap’s fundraising partner, HundredX, any amounts raised through HundredX shall count towards the Guaranteed Value fulfillment.

3.8. Execution Requirement: Failure to timely complete and submit the Sponsorship Application and execute the sponsorship as specified by TeamSnap will result in forfeiture of the Guaranteed Value.

4. Delivery of Sponsorship: TeamSnap will ensure that NBAs have received offers constituting the full Guaranteed Value by July 31, 2025.  If TeamSnap is unable to provide a Sponsorship Opportunity to Participant solely due to its own actions, any unfulfilled Guarantee Value will be paid out as a TeamSnap sponsorship or equivalent at TeamSnap’s sole discretion.  Payment will be made as soon as reasonably practical following July 31, 2025 after TeamSnap has been able to verify fulfillment by Participant of sponsorship requirements and final amount of payments volume processed.

5. Sponsorship Components: Sponsorships may include, but are not limited to, sponsored apparel, digital and physical advertising, and participation in fundraising programs, with specific pricing and components determined by TeamSnap.

6. General Terms:

6.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware.

6.2. Entire Agreement: This Agreement contains the entire understanding between the Parties regarding the Promotion.  The Parties understand the general TeamSnap terms and conditions for Service and for TeamSnap Sponsorship still apply.

6.3. Amendment: Any amendment to this Agreement must be in writing and signed by both Parties.

6.4. Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
